1.        INSTRUCTIONS TO TENDERERS
1.1           The Tender shall bo signed with all blanks in the Appendix filled in.
It shall be accompanied by the Bill of Quantities which shall bo 
fully priced out to show the amount of the Tender. The Tender price
is to allow a 2^% discount for payment within JO days of Invoice.
1.2           The Tender and accompanying Bill of Quantities and Schedules shall
bo enclosed in a sealed cover endorsed "AMIBARA IRRIGATION PROJECT - TENDElt FOR BARRAGE GATES" and addressed to:

1.5- No alteration shall be made in the form of the Tender, Bill of Quantities
or other documents and the Tender shall comply entirely with the term3 of the Conditions of Contract, Drawings, Specification, letter of invitation and any amendments or additions thereto notified to Tenderers by the Engineer.
1.6. The Tenderer is to raise any question he may have regarding the method of
./ measurement adopted in the Bill of Quantities, or any other matter which

1 will affect the Tender Price or the rates entered in the Priced Bill of

Quantities, vzith the Engineer 'for clarification before submitting a Tender.
1.7.          If the Engineer discovers errors
or omissions in any Tender he will
require the same to be corrected but in such cases the Contractor will not be permitted to increase his Tender Price. Any adjustments made by the Engineer in a Tender will be stated to the Tenderer if the Employer shall make an offer to accept that Tender.
1.8.          Attention is drawn to the fact that this is a fixed price 6ub-contract,
and that no adjustment of the sub-contract price will be made in respect 0 'Z J
of variations in the prices of labour or materials.
1.9.          Each unsuccessful Tenderer shall return all drawings and other documents issued to him, with the exception of one copy of the Tender and Bill of Quantities, to the Engineer as soon as he has been notified of the non-acceptance of his Tender.»

2.1 Having examined the Drawings, Conditions of Contract, Specifications, and bills of Quantities for the construction of the above named Works, we,
the undersigned, offer to design, supply, supervise the erection and completion
of and maintain the whole of the said Works in conformity with the said Drawings, Conditions of Conti'act, Specifications, and Bills of Quantities for
the sum of

General J.1. Thio enquiry document covero the oupply of three —x 10m.
loaf gates for a barrage forming part of the Amibara Irrigation Project in Ethiopia. The enquiry is being issued by tho Engineer (Sir William Halcrow L Partners) on behalf of the Awash Valley Authority, who will place the order for the gates. However, on the appointment of a contractor to carry out the civil engineering works of the project, the order will be taken over by him, hereinafter called the
Main Contractor. The gate supplier will then become a
Sub-Contractor fully responsible to the Main Contractor. Thus, the gate supplier will have the same obligations to 
the Main Contractor as the latter has to the Awash Valley Authority under the Main Contract, which will be under the international FIDIC conditions of contract for civil engineering works.
It is expected that the order for the gates will be placed 
in August or September 1974 with the appointment of the Main Contractor later this year. Erection of the gates on site should begin early in 1976, being required for operation in May 1976.

Extent of Sub-Contract
5.2. The gates to be supplied under this sub-contract are to be
installed in the Melka Sadi diversion barrage and canal headworks on the River Awash in Ethiopia, which will be constructed by the Main Contractor under Contract No.5 Main Works of the Amibara Irrigation Project.
This Gub-contract covers the design, fabrication, delivery c.i.f. Assab or Djibouti and the supervision of erection, tooting and commissioning of the main regulating gates for the barrage. It includes tho supply of all operatingDrawings
equipment, side platen, guides, seals, indicators and 
all items necessary to provide a complete working installation.
J. J. The following drawings have been prepared by the Engineer for the civil engineering works. They indicate the locations proposed and the general form of the items covered by thi3 sub-contract.

Status of

A, 1. The Works to be executed under this Sub-Contract
are as set out in Part—4—of—the—Teohni-cal—Specification. Although the Engineer is issuing the enquiries for this
work, the work forms part of Contract No. J, Main Works, for the Amibara Irrigation Project and it will be administered as a Nominated Sub-Contract under the following conditions.
4. 2. The text of Clause 59 of the General Conditions
of the Main Contract defining the status of Nominated Sub-Contractors is as follows:-
”59« 0) All specialists merchants tradesmen and 
others executing any work or supplying any goods for which provisional or prime cost sums are included in 
the Bill of Quantities who may have been or be nominated or selected or approved by the Employer or the Engineer and all persons to whom by virtue of the provisions of
the Bill of Quantities or Specification the Contractor
is required to sub-let any work shall in the execution 
of such work or the supply of such goods be deemed to be Sub-Contractors employed by the Contractor and ai’e hereinafter referred to a3 "nominated Sub-Contractors". Provided always that the Contractor shall not be required by the Employer or the Engineer or be deemed to be under any obligation to employ any nominated Sub-Contractor who shall decline to enter into a sub-contract with the Contractor containing provisions:-(a)     1’lnit in rcspoct of the work oi' goods the subject of the sub-contract the nominated
Sub-Contractor will undertake towards the Contractor the like obligations and liabilities
as are imposed upon the Contractor towards
the Employer by the terms of the Contract

(2) Before issuing under Clause 60 hereof any certificate which includes any payment in respect cf work done or goods supplied by any nominated Sub-Contractor Engineer shall be entitled to demand from the Contractor reasonable proof that all payments (less retentions) included in previous certificates in respect of the work 
or goods of such nominated Sub-Contractor have been paid or discharged oy the Contractor in default whereof ur.lczs the Contractor shall
(a) inform the Engineer in writing that he has reasonable camo for withholding or refufir.y10.

Sub-Contractor direct upon the certificate of the
Engineer all payments (less retentions) which the
Contractor has failed io make to such nominated. Sub-Contractc
and to deduct by way of set-off the amount so paid by 
the Employer from any sums due or which become due from
the Employer to the Contractor.
Provided always that where the Engineer has certified 
and the Employer has paid direct as aforesaid the Engineer
shall in issuing any further certificate in favour of the
Contractor deduct from the amount thereof the amount sc
paid direct as aforesaid but shall not withhold or delay 
the issue of*the certificate itself when due to be issued 
under the terms of the Contract.”
4.              The General Conditions governing this Sub-Contract are the Conditions of Contract (international) for works
of Civil Engineering Construction prepared by the Federation Internationale des Ingenieurs-Conseils (F.I.D.I.C.; jointly with the Federation Internationale du Batimont et des Travaux Publics (F.I.B.T.P.) (now kriown as the Federation Internationale des Entrepreneurs European du Batiiient et des Travaux Publics - F.I.E.E.B.T.P.) Second 
Edition dated July 
as modified by the following Clauses.
4.4. As the Main Contractor has not yet been appointed,
the order fcr the works of this Sub-Contract may bo placed by the Employer. (The Awash Volley Authority, Imperial Ethiopean Government). Initially the Sub-Contract would then he administered directly by the Engineer (Sir Willi.-m11
Definitions
Halcrow U Partners). Subsequently \nd prior to delivery 
tho Sub-Contractor will be required, to enter into a
Sub-Contract Agreement with tho Hain Contractor in 
accordance with Clause 59 of the General Conditions cf
Contract of the Kain Contract and will become a
Sub-Contractor as defined in the Kain Contract.
The Sub-Contractor shall undertake initially 
towards the Employer, if the order is placed by him, azi
after the appointment of the Main Contractor towards him,
whether the Sub-Contract Agreement has been formally c-r.esute-i
or not, the like obligations and liabilities as are imposed 
upon the Kain Contractor towards the Employer by the Terms
of the Hain Contract. The Sub-Contractor shall save
harmless and indemnify tho Employer, or tho Main Contractor
as the case may be, from and against the same and for all
claims, demands, proceedings, damages, costs, charges azi
expenses whatsoever arising out of or in connection with 
the aforesaid obligations and liabilities or arising hux 
of or in connection with any failure to perform such 
obligations or to fulfil such liabilities. Tho Sub-Coztrioicr
will also save harmless and indemnify tho*Main Contraczcr
from and against any negligence by the Sub-Contractor, his
agents, workmen and servants from and against any misuse
by him or them of any constructional Plant or Temporary Works provided by the Main Contractor for the purposes of the
Main Contract and from all claims as aforesaid in conn-coion therewith.
4-5. (1) The definitions in sections (a) and (c) of Clause
1 (1) of the General Conditions of Contract shall be:-
(a)              "Employer" means the Awash Valley Authority Imperial Ethicncnn Government and. includes the Et.pl oyer’s representatives or successors.(c)        “Engineer” means Sir William Halcrow & Partners,
Consulting Engineers, Newcombe House, 45» Notting
Hill Gate, London, W.11 JJX.
(2)       For      the      purposes      of      this      Sub-Contract      the      following additional definitions shall apply:—
(a)        ’’Main     Contractor”     means     the     Contractor     yet     to     be appointed for the "Main Contract”.
(b)        ’’Main    Contract”    means    Contract    No.    J,    Main    Works,
of the Amibara Irrigation Project.
(c)        "Sub-Contractor” means the person or persons, firm
or company whose tender for the Works of this
Sub-Contract has been accepted by the Employer and
includes          the          Sub-Contractor’s          personal          representatives successors and permitted assigns.
(d)        "Sub-Contract” means the Conditions of Contract,
Specifications,         Drawings,         Bill         of         Quantities,         Schedule of hates and Prices, Tender and Sub-Contract Agreement
Language
4.6.
The "Ruling Language” referred to in the General Conditions of
Contract is English. All correspondence with the Engineer or
the Main Contractor on any matter whatsoever shall be written 
or recorded in the English language. All copy correspondence,
orders, etc. in any other language which may be required to be
sent to the Engineer or the Main Contractor shall be accompanied 
by an English translation.
Performance Bond
4.7.
The amount of the Performance Bond shall be 15 
cent of the
Tender Sum.
Damage for
4.0.
Any breach by the Sub-Contractor of the Sub-Contract

may result in the Main Contractor's committing breaches
of and becoming liable in damages under the Main Contract
and other contracts made by him in connection with theConiplction
Definition of Period of Maintenance
Main Works and may occasion further loss or expense to 
the Main Contractor in connection with the Main Works
and all such damages, lose and expense are to be borne
by the* Sub-Contractor* Such damages nay include but are
not limited by the amount of liquidated dagagog for the
Main Contract which are as stated in the Appendix to the
Tender.
4-9* As soon as in the opinion of the Engineer the parts of
the Main Works which include the Sub-Contract Works shall
have been substantially completed and the Sub-Contract
Works shall have satisfactorily passed any final test or commissioning called for in the Sub-Contract the Engineer
nay, on receiving a written undertaking by the Main Ccntnctor and Sub-Ccntractor to finish any outstanding work during the
Period of Maintenance, issue a Certificate of Completion 
in l'espcct of or including the Sub-Contract Works.
.10.        (1)       In these conditions the expression “Period, of Maintenance" shall mean the period of maintenance named in the Tender calculated from the date of completion of the Works certified
by the Engineer in accordance with Clause 4-9 hereof or,in the event of more than one certificate having been issued

Remedy on Sub contractor ’ s Failure to Carry out Work Required.
All such work shall be carried out by the Sub contractor at hio own expense if the necessity thereof
□hall in the opinion of tho Engineer be duo to the use
of materials or workmanship not in accordance wit}) the
Sub-Contract or to neglect or failure on the part of
tho Sub-Contractor to comply with any obligation expressed or implied on the Sub-Contractor’s part under the. Sub contract. If in the opinion of tho Engineer such necessity 
shall be due to-any other cause the value of such work 
shall be ascertained and paid for as if it were additional
work.
(4) If the Sub-Con tractor shall fail to do any such work 
as aforesaid required by the Engineer the Employer shall
be entitled to carry out such work by his own workmen or
by other contractors and if such work is work which the
Sub-Contractor should, have carried out at the Sub-Cor.tractor* own cost shall be entitled to recover from the Sub-Contractor the cost thereof or may deduct the same from any monies due or that become duo to the Sub-Contractor.
Sub-Con tractor to Search.
4. 11.                     The Sub-Con tractor shall if required by the Engineer in writing search for the cause of any defeat imperfections or fault under the directions of the Engineer. Unless such defect imperfections or fault shall be one for which the
Sub-Contractor is liable under tho Sub-Contract the cost
of the work carried out by. the Sub-Contractor in searching as aforesaid shall be borne by the Employer. But if such defect imperfection or fault shall be one for which the
Sub-Contractor is liable as aforesaid the cost of the work carried out in searching as aforesaid shall be borne by the
Sub-Contractor and he shall in such case repair rectify and make go cd such defect imperfection or fault at his o.,r. c:-p-.rn in accordance with the provisions of Clauss 10 hereof.15.
Cubtons       Dutios Reimbursed.
Certificates and Payments
4*12. The Sub-Con tract or will bo requirod to pay Customs
Dutios, Transaction and Municipal Taxes on any plant, materials or things listed in the Customs Tariff and Regulations (imperial Ethiopian Government, Department of Customs) and imported into Ethiopia by the Sub contractor for the purposes of the Contract whether
for permanent or temporary vzorks. However, the actual amount of such duties and taxes paid by the Sub-Contractor will be reimbursed to him.
4 • 15         (1) The Sub-Contractor shall submit to the Main Contractor applications for payment of the undermentioned 
amounts subject to a retention of 10 per cent.
(a)
The Contract Price for the manufacture of each 
item on receipt by the Engineer of the complete
shipping documents for that item.
(b)
The Contract Price for the shipment of each item
on its receipt in satisfactory condition at the
port of discharge.
(c)             The     Contract     Price     for     supervision     of     erection when     erection     of     the     equipment     is     completed     to the satisfaction of the Engineer.
(2) One half of the retention money shall become
due and shall be eligible for inclusion in the next succeeding Certificate of the Engineer when the Engineer has issued to the Main Contractor a Certificate or Certificates of Completion covering the whole of the
Works of the Sub-Contract as described in Clause 4*9 above. The other half of the retention money shall become due
for inclusion in the Engineer’s Certificate at the expiration of the Period of Maintenance as defined in Clause 4.10 above. Provided always that if at such time(5)
tbore shall remain to be executed by the Sub-Contractor
any works ordered during such period pursuant to Clause
4-10 herof the Engineer shall bo entitled to withhold 
certification until the completion of such works of so 
much of the second half of the retention money as shall
in the opinion of the Engineer represent the cost of the
v/orks 30 remaining to be executed.
The      Sub-Contractor      will      be      paid      by      the      Main      Contractor within 5 months of the date of receipt of his invoice.
However if payment is made to the Sub-Contractor within JO days, the Sub-Contractor Ghall allow the Main Contractor a discount of 2^%. In the event of failure
by the Main Contractor to make payment within 5 months, the Sub-Contractor shall be entitled to receive payment of interest at the rate of 10% per annum from the date upon which the payments should have been made, i.e.
5 months after submission of invoice.
(4) All monetary statements and payments shall be calculated 
in Ethiopian Dollars. Though the Main Contractor will
generally be paid by the Employer in Ethiopian Dollars
in Addis Ababa, the Employer may pay the Main Contractor
in other currencies. Thus, the Sub-Contractor can be
paid in other currencies provided full details of the
Sub-Contractor’s proposals have been included in his
Tender and have been accepted by the Employer.
Force majeure 4.14. The clause covering special risks in the General Conditions of
Contract (FIDIC) is deleted and replaced by the following:

Settlement of 4.15. (1) All disputes and  differences between  the Employer and 
Disputes Arbitration.
the Contractor arising in connection with the present
contract or any breach thereof or arising out of the
works shall in the first place be referred to and be
settled      by      the      Engineer,      who      shall      make      a      recommendation      in writing to both parties within a period of 90 days afterFixed        Price Contract

4.16.         The sue or sums duo under this Sub-Contract will not be varied in any way as a result of any increase or decrease in the price of labour, materials, transport, insurance, fuel, power, customs or other duties or levies in any 
part of the world or as a result of any statutory enactment or other regulation which may affect the cost to the Contractor of carrying out the Sub-Contract. Thus, the conditions covering price variation for the Main Contract (Clause 70 of the General Conditions of Contract of the Main Contract) will not apply to this Sub-Contract.
4.17. All units of measure included in the Sub-Contract shall be

4.18 Any commission, advantage, gift,
systeme International gratuity, reward or
bribe given, promised or offered by or on behalf of the Contractor or his agent or servant, or any other person on his or their behalf to the Employer or to the Engineer or to the Engineer’s Representative or to any of their respective members, officers, servants, advisers, agents or employees to any person on their behalf or on behalf
of any of them in relation to
the obtaining cr to the
execution of this or of any other Contract with the Employer, may in addition to any criminal liability v.-hich nay be thereby incurred subject the Contractor to the cancellation of this and all other Contracts which he may have entered into with the Employer and also to the payment of any loss or damage resulting from such cancellation. The Employer ehall be entitled upon a certificate in writing of the Engineer to deduct the amounts so certified from any moneys otherwise due to the Contractor under this or any other contract or
to recover the said amounts as a debt due or partly the one and partly the other as the Employer shall deem advisable.19.

4-19 The Contractor shall treat the Contract and everything therein as private and confidential. Excepting with 
the written consent of the Engineer and subject to such conditions as the Engineer may prescribe, the Contractor shall not publish any information, drawing or photograph concerning the Works and shall not use the Site for the purposes of advertisement.
Law governing Contract

TECHNICAL SPECIFICATION
(1)      The barrago gates will bo required to maintain tho water
level in the river upstream of the barrage at the
required operating level, whilst offering the minimum
obstruction to the passage of floods. The gates shall be
watertight while in the "up” position. Since the flow3 
in the River Awash at Melka Sadi are partially regulated
by the operation of the Koka reservoir come IfjOKm. upstream,
it is envisaged that movement of the gates will only be
required during a few months of the year, i.e. during times
of flood.
(2)      The barrage gates may be operated by mechanical means cr
by hydraulic rams, each gate being fully adjustable
independently by a power supply to be provided under the
Sub-Contract. Setting of the gates is to be by manual
control and the selected settings must be maintained with 
the minimum of attendance. Provision is to be made in 
the design for conversion of the operation to automatic
control by the upstream water level at a later date.
Provision should be made for hand operation in case of
emergency.
(In  assessing  the tenders, preference will be given  to those offering  simple operation, i.e. having  equipment requiring the minimum of skilled maintenance).
(.1)     The     Sub-Contractor     will     be     held     fully     responsible     for
all     aspects     of     the     design    and    subsequent    performance     of the    gates.    He    will    be    deemed    to    have    satisfied    himself as     to     all     the     requirements,     explicit     or     implicit,     and     if the performance of the installation during tho specifiedWorkmanship in general
or at any time during the Maintenance Period fails
in any way to meet the Specification or falls short in 
any of its required functions in the opinion of the Engineer, the Sub-Contractor shall, in accordance with Clause
of the General Conditions of Contract, im.-nndin.tply make such alterations, modifications or repairs as may be necessary to remove the shortcomings.
(2) The Sub-Contractor shall advise the Engineer on the general form of the concrete works required to house the gates and operating gear and give detailed information on the size
of boxouts needed for built-in parts, automatic operation
etc. and all such information as will affect the civil engineering design.
All workmanship shall be of the best quality recognised within
the industry as appropriate to each category of work. Except
where otherwise stated or approved by the Engineer, all materials used in the Works shall be of the best quality suited to the requirements of the installations and shall comply with the
latest issue of the appropriate Standard published by the
British Standards Institution, or other equivalent approved 
national standard as inserted by the Sub-Contractor in the
Schedule B hereto. Six copies of each of such alternative
standards in English are to bo supplied by the Sub-Contractor
to the Engineer when required. The Sub-Contractor will be deemed to understand fully his responsibilities in this respect.

copy will be returned to the Sub-Contractor marked 
up with any comments that the Engineer may have. The implementation of such comments shall not relieve the Sub-Contractor of any of his responsibilities for the performance of the equipment and the Sub-Contractor shall notify the Engineer immediately where any additional cost may result from compliance with his comments.

Delivery
Erection at Site
5«0»     (1)     Tho     gates     shall     be     delivered,     erected     and     commissioned within 87 weeks of the award of the Sub-Contract.
Built-in parts shall be delivered and erected in advance
of the other material as may be necessary to suit the programme of operation of the Main Contractor.
(2) The Sub-Contractor shall have submitted with his tender
a programme setting out the time required for each of the operations shown on the programme form included hereto as Schedule A.
5.9*               The materials are to be delivered c.i.f. to Assab or
Djibouti as arranged with the Main Contractor and all consignments are to be clearly marked so that they can 
be identified as being supplied under this sub-contract.
All small parts, accessories and fixings shall be packed with the equipment to which they belong. The Main Contractor shall be responsible for taking delivery of
the permanent materials at the port of Assab or
and transporting them to site.
5.10.(1) The Sub-Contractor shall provide for the supervision of
erection, which erection shall be carried out by the Main Contractor. The Sub-Contractor shall provide all necessary supervisors, together with all special tools, gauges, jigs,
etc., necessary for tho work of erection and advise the Main Contractor as to all the other plant, tackle, tools etc. required for handling and erecting the gates and all equipment therefor and for testing the completed installations If the design of the gates calls for the services of any specialist tradesmen in the erection process, beyond what may bo available on the site, the Sub-Contractor shall provide these specialists.2a.
(2)          In    order    to    ensure    that    tho    erection    and    commissioning shall      be      carried      out      expeditiously,      tho      Sub-Contractor shall allow in the appropriate item of the Bill of
Quantities for a visit to the site by a competent reprcscntati\
at least two months before the commencement of erection 
to discuss a detailed programme with the Mnin Contractor. He shall supply the Main Contractor with full details of
the wei^its of all parts, sequence of erection operations
and all such other information necessary for the planning 
and programming of the work and ensure that the Main Contractor is prepared in all respects for the task.
(3)      The Sub-Contractor shall allow in the appropriate items
of the Bill of Quantities for all costs in connection with 
the provision of adequate supervision. Whilst he will be expected to see that the gates and all ancillary equipment
are erected within the period entered by him in Schedule A, he will be paid under Item 8 of the Bill of Quantities for
any additional time necessarily taken, unless such 
additional time has arisen from deficiencies or causes
for which he is responsible.
(4)        If for reasons ever which the Sub-Contractor has no control, erection of his equipment cannot proceed in such order as
to give continuous work for his supervisors, he may be required by the Engineer to withdraw one or more men and to return them later as directed. He shall allow in 
item 9 of the Bill of Quantities for all expenses incurred 
in the withdrawal of one man from site and his subsequent return. Any such movements of personnel which may be ordered by the Engineer will bo paid for at the rate quoted.
(5)        The Main Contractor will provide, free of cost to the
Sub-Contractor, transport and fully furnished accommodation of a suitable type for the Sub-Contractor’s supervisory staff.ihe Sub-Contractor shall include in his tender for the cupply Oa  12 copies of his Operating and Maintenance Instructions in English for the use of the Employer. These must include detailed instructions with illustrative drawings and. diagrams to enable the Employer to operate the installations with his own personnel and all necessary information for the routine maintenance and replacement of worn or damaged parts by skilled maintenance personnel. These Instructions shall include copies of the detailed instructions provided by the manufacturers of all bought- out assemblies and shall indicate part numbers or other suitable identification for the later ordering of spare
parts.

(1)      The design shall be carried out with the necessity for
maintenance well in  mind  and, wherever possible, all important components such  as seals, bearings etc., should  be replaceable easily and without special tools.
(2)      The Sub-Contractor shall include in his tender for the
provision of a basic kit of maintenance spares packed in suitable permanent cases with identification for each part.
Ho* shall insert in Appendix D hereto a recommended list of spares and prices (ex-works) which the Employer may purchase
at his option.
